Dear Mr. Cunningham:

On Oct. 16, 2001 Joe Fenske, Steve Zoet, and Rosanne Decker went to your realtor office to request the minutes of the Oct. 15, 2001 Special Meeting.  In addition we requested all ballot information for every name that voted and how they each voted for the Oct. 15, 2001 meeting.  You indicated to us the information was not ready or available at that time to give us.

We, Larry and Rosanne Decker, in accordance with Idaho Nonprofit Corporation Act, are now requesting in writing copies of the following documents for the purpose of communication with other members concerning the meeting and verifying the outcome of the voting.

1.  An alphabetical list of the names of all its members who are entitled to notice of the Oct. 15, 2001 meeting for which the list was prepared.  This list must show the address and number of votes each member is entitled to vote at the meeting.

2.  An alphabetical list of members who are entitled to vote at the Oct. 15, 2001 meeting but not entitled to notice of the meeting for which the list was prepared.  This list must show the address and number of votes entitled to vote at the meeting.

3.  A copy of the membership list showing those members who signed in at the Oct. 15, 2001 Special Meeting.  This would be the same papers that Dorothy Tompkins was in charge of when members signed in at the meeting for quorum and voting purposes.

4.  Minutes of the Aug. 11, 2001 meeting held at the Golf Course Clubhouse at 9 a.m.

5.  Minutes of the Oct. 15, 2001 meeting held at the Pro Shop Clubhouse at 7 p.m.

6.  Special board meeting minutes and records of all actions approved by the board members after Jun. 6, 1998 to the present date including any held after Oct. 15, 2001.

7.  Resolutions adopted by the board of directors relating to the characteristics, qualifications, rights, limitations and obligations of members or any class or category of members.

8.  All written communications to members from Oct. 15, 2001 to the present date.

9.  All annual financial statements for the past seven years.  That includes a balance sheet as of the end of each fiscal year and statement of operations for each year.

10. A list of the names and business or home address of  Lake Sans Souci  Property Owners Association, Inc. current directors and officers.

11. Copies of all of the following completed ballots voted at the Oct. 15, 2001 meeting or subsequently.

  • Ballot and Consent Lake Sans Souci Property Owners Association, Inc/Stoneridge Master Association,
  • Ballot and Consent, Lake Sans Souci - Units One and Two for The Lakes at Stoneridge,
  • Ballot and Consent Lakes Sans Souci - Units One and Two for The Forest at Stoneridge,
  • Election Ballot for the Board of Directors of Lake Sans Souci/Stoneridge,
  • Election Ballot for the Board of Directors of The Forest at Stoneridge,
  • Election Ballot for the Board of Directors of the Lake at Stoneridge.

For each of the above ballots, please send the designation, number of memberships, outstanding number of votes entitled to be cast by each class entitled to vote separately, and the number of votes of each class, indisputably voting on the above ballots.  And either the total number of votes cast for and against by each class entitled to vote separately or the total number of undisputed votes cast by each class and a statement that the number cast by each class was sufficient for approval by that class for the above ballots

Please disclose any direct or indirect interest you, Larry Cunningham, may have with CDS Stoneridge Associates Land, L.C. or another entity of their company or parent company in which you may have a material interest or in which you are a general partner or a party to a transaction.  Also if there is another entity in which you are a director, officer, or trustee is a party to a transaction.

All copies shall be sent to our home immediately.  Thank you for your cooperation.
